Circular 285 provides that, in banking companies that adopt the traditional governance model, the Board of Statutory Auditors typically carries out the functions of the Supervisory Board - established pursuant to Legislative Decree no. 231/2001, concerning the administrative liability of institutions - which governs the operation and compliance of organisation and management models adopted by the bank to prevent the relevant crimes for the purposes of the same Legislative Decree. The banks can also entrust these functions to a body duly established for this purpose, providing adequate reasons. In this context, Cassa Centrale Banca has opted to entrust the Board of Auditors with the relative functions of the Supervisory Board, pursuant to Legislative Decree no. 231/2001.
